These Terms of Service (“Terms”) govern your use of the website szfrs.com and any cable assembly, wire harness, FFC/FPC, or custom manufacturing services provided by SZFRS (“we,” “us,” or “our”). By accessing our website, requesting a quote, or placing an order with us, you agree to these Terms. If you do not agree, please do not use our website or services.
1. Acceptance of Terms
These Terms constitute a binding agreement between SZFRS and the individual or entity accessing our website or engaging our services. If you are accepting on behalf of a company, you represent that you have the authority to bind that company to these Terms.
2. Use of the Website
You may use szfrs.com for legitimate business purposes only. You agree not to:
- Use automated means (bots, scrapers, crawlers) to extract data from the site without our prior written consent, except for standard search engine indexing.
- Attempt to interfere with, disrupt, or gain unauthorized access to the website, our servers, or connected systems.
- Use the website to transmit malware, spam, or unlawful content.
- Misrepresent your identity, affiliation, or intent when contacting us.
- Use any information obtained from our website to compete directly with us or to solicit our clients, suppliers, or employees.
3. Quotations, Orders, and Contracts
Quotations we provide are valid for 30 days from the date issued unless stated otherwise. Quotations are not binding offers; a binding contract forms only when we receive a signed purchase order, accepted proforma invoice, or equivalent confirmation from you, and we issue our written acceptance or begin production.
Each order is governed by these Terms plus any specific written agreement between us, including purchase orders, master supply agreements, or quality agreements. In case of conflict between these Terms and a signed individual agreement, the individual agreement controls for that specific order.
4. Pricing and Payment
- Currency — prices are quoted in USD by default; other currencies available on request.
- Deposits — first-time orders typically require 30% deposit before production begins and 70% balance before shipment. Repeat clients with good payment history may qualify for Net 30 or Net 60 terms.
- Methods — wire transfer (T/T) is standard for orders over $5,000. PayPal, Alipay, or credit card accepted for smaller orders subject to processing fees.
- Taxes and duties — prices are exclusive of import duties, taxes, and customs fees at destination unless explicitly noted as DDP (Delivered Duty Paid). Buyer is responsible for all destination country taxes and duties on non-DDP shipments.
- Late payment — overdue balances may accrue interest at 1.5% per month or the maximum allowed by applicable law, whichever is lower.
5. Production, Delivery, and Shipping
Production lead times are estimates based on order specifications and current factory loading. Actual lead times depend on material availability, customer-supplied component delivery, and drawing approval timelines. We communicate delays promptly; however, SZFRS is not liable for delays caused by force majeure events, customer-supplied material issues, or changes requested after design freeze.
Shipping terms default to EXW (Ex Works, Shenzhen) unless otherwise agreed. We can arrange DDP, DAP, FOB, or other Incoterms on request. Risk of loss transfers to the buyer per the agreed Incoterm.
6. Quality, Warranties, and Returns
We warrant that products manufactured by SZFRS conform to the approved drawings, specifications, and applicable quality standards (including IPC/WHMA-A-620 Class 2 or Class 3 as specified) for a period of 12 months from delivery, or the period specified in your individual purchase agreement.
Claims for non-conforming product must be submitted in writing within 30 days of receipt, with supporting evidence (photos, test data, part samples). Remedies are limited to repair, replacement, or credit at our reasonable discretion. This warranty does not cover damage resulting from misuse, modification, improper installation, or normal wear and tear.
Except as expressly stated above, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law.
7. Intellectual Property
Our content. All content on szfrs.com — text, images, logos, designs, product photos — is owned by SZFRS or our licensors and protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, redistribute, or republish our website content without written permission, except for limited personal reference.
Your content. Drawings, specifications, BOM, samples, and other materials you provide to us for quoting or production remain your property. We use them only for the specific project you engage us for and do not share, sell, or repurpose your designs for other clients. Mutual NDAs can be executed upon request before any design exchange.
ODM designs. For Original Design Manufacturing (ODM) projects, ownership of the resulting design is as specified in the individual ODM agreement between us. By default, ODM designs we create based on your requirements are licensed to you exclusively for production through SZFRS; full ownership transfer requires a separate written agreement.
8. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information exchanged during the business relationship, including technical drawings, pricing, customer lists, and production methods. This obligation survives the termination of any specific project or order. Where appropriate, we sign mutual Non-Disclosure Agreements (NDAs) to formalize confidentiality terms for specific projects.
9. Limitation of Liability
To the fullest extent permitted by law:
- SZFRS’s total aggregate liability arising out of or relating to any order or these Terms shall not exceed the amount paid by you for the specific products that are the subject of the claim.
- SZFRS is not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, business interruption, or loss of goodwill, even if advised of the possibility of such damages.
- These limitations apply regardless of the form of action, whether in contract, tort, strict liability, or otherwise.
Some jurisdictions do not allow certain limitations of liability, in which case the limitations apply to the maximum extent permitted by applicable law.
10. Force Majeure
Neither party is liable for delays or failures in performance caused by events beyond reasonable control, including natural disasters, acts of war or terrorism, civil disturbances, government actions, port closures, epidemics, power failures, component shortages, or other supply chain disruptions. The affected party will notify the other promptly and make reasonable efforts to resume performance.
11. Export Controls and Compliance
You agree that any products purchased from SZFRS will not be exported, re-exported, or transferred in violation of applicable Chinese export control laws or the laws of the destination country. You are responsible for obtaining any necessary import permits, licenses, or regulatory approvals in your country.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the People’s Republic of China, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
Any dispute arising out of or relating to these Terms or any order will be resolved through good-faith negotiation first. If unresolved within 60 days, disputes will be submitted to arbitration administered by the Shenzhen Court of International Arbitration (SCIA) in accordance with its rules in effect at the time of filing. Arbitration proceedings will be in English, with one arbitrator, seated in Shenzhen. The award is final and binding.
Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction for intellectual property infringement, breach of confidentiality, or similar urgent matters.
13. Modifications to Terms
We may update these Terms from time to time. The updated version takes effect when posted on this page with a revised “Last Updated” date. Continued use of our website or services after changes means you accept the revised Terms. For ongoing orders, the Terms in effect at the time of the purchase order apply.
14. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.
